Terms of Service

Introduction

These Terms of Service ("Terms") govern your use of the Combly service ("Service"). By using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Definitions

• "Service" refers to the Combly WhatsApp group coordination platform
• "User", "you", or "your" refers to individuals or entities using the Service
• "Content" refers to text, images, data, and other materials shared through the Service
• "Account" refers to your registered user account on the Service

Account Terms

To use the Service:

• You must be at least 16 years old
• You must provide accurate and complete information
• You are responsible for maintaining the security of your account
• You are responsible for all activities under your account
• One person or entity may maintain only one account
• You must have a valid WhatsApp account to use the Service

Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Harm, threaten, harass, or impersonate others
• Send spam, unsolicited messages, or engage in disruptive behavior
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or extract data from the Service using automated means
• Interfere with or disrupt the Service or servers
• Violate intellectual property rights or other rights of third parties
• Attempt to bypass security measures or gain unauthorized access

Violation of this policy may result in immediate account termination.

Service Availability

• The Service is provided "as is" without warranties of any kind
• We strive for high availability but do not guarantee uninterrupted access
• We may perform maintenance, updates, or modifications at any time
• We reserve the right to modify or discontinue features without notice
• We are not liable for service interruptions or data loss

Payment Terms

For premium features:

• Subscription fees are billed monthly in advance
• Payment is processed securely through Stripe
• Free trial periods are offered for certain features
• You may cancel your subscription at any time
• Refunds are prorated for the current billing period upon cancellation
• We may change pricing with 30 days' notice
• You are responsible for applicable taxes on your payments

Intellectual Property

Limitation of Liability

• We are not liable for indirect, incidental, or consequential damages
• We are not liable for data loss, business interruption, or lost profits
• We are not responsible for third-party services (e.g., WhatsApp, Stripe)
• We are not liable for user-generated content or user actions
• Our total liability is limited to the amount you paid us in the last 12 months

Some jurisdictions do not allow liability limitations, so these may not apply to you.

Indemnification

You agree to indemnify and hold Combly harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of third parties.

Termination

• You may delete your account at any time through the Service settings
• We may suspend or terminate your account for Terms violations
• Upon termination, your right to use the Service ceases immediately
• We may delete your data 30 days after account termination
• Provisions that should survive termination will remain in effect

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via WhatsApp or email. Continued use of the Service after changes constitutes acceptance of the modified Terms.

Governing Law and Disputes

• These Terms are governed by the laws of the Province of Ontario, Canada
• Disputes will be resolved in the courts of Ontario, Canada
• We encourage informal resolution of disputes before legal action
• Failure to enforce any provision does not constitute a waiver

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Combly regarding use of the Service.
